1. Definitions

"Service" refers to the business consulting services offered by Helix Path, including Strategic Roadmapping, Vendor & Supplier Strategy, and International Compliance Advisory. "User" or "you" refers to any individual or organization accessing our website or engaging our services. "We," "us," or "our" refers to Helix Path, registered at 11F, No. 77, Sec. 1, Jianguo North Road, Zhongshan District, Taipei 104, Taiwan. "Agreement" refers to these Terms & Conditions together with any written engagement proposal.

2. Acceptance of Terms

By accessing our website or engaging our services, you confirm that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are acting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms. If you do not agree with any part of these terms, you should discontinue use of our website and services.

3. Service Description

Helix Path provides business consulting services to organizations primarily in Taiwan and the Asia-Pacific region. Our services are advisory in nature. We do not provide legal, tax, or accounting advice, and our deliverables do not replace the need for professional legal or financial counsel. Service availability may vary depending on current capacity and project suitability.

4. User Responsibilities

When using our website, you agree to provide accurate and truthful information in any forms or correspondence. You agree not to use the website for any purpose that is unlawful or prohibited by these terms. You agree not to attempt to access restricted areas of the website or interfere with its functionality. You agree not to reproduce, distribute, or commercially exploit any content from this website without our prior written consent.

5. Intellectual Property

All content on this website — including text, graphics, logos, and design elements — is the property of Helix Path and is protected by Taiwanese and international copyright laws. You are granted a limited, non-exclusive, non-transferable license to view the content for personal, non-commercial purposes. Deliverables produced during a consulting engagement become the property of the client upon full payment, except for proprietary frameworks and methodologies which remain the intellectual property of Helix Path.

6. Payment Terms

Service fees are stated in New Taiwan Dollars (NT$) and are documented in a written proposal before work begins. Payment terms are outlined in each engagement proposal, typically requiring a deposit before commencement and final payment upon delivery. Late payments may be subject to a 1.5% monthly interest charge. We reserve the right to suspend work if payment is overdue by more than 30 days.

7. Refund Policy

If you wish to cancel an engagement before work has begun, any deposit paid will be refunded in full. Once work has commenced, cancellation fees may apply based on the proportion of work completed. Specific cancellation terms are detailed in each engagement proposal. We do not offer refunds for completed engagements.

8. Confidentiality

We treat all client information as confidential. A mutual non-disclosure agreement is executed at the start of every engagement. We do not share client data with third parties unless required by law or with the explicit written consent of the client. Our confidentiality obligations survive the termination of any engagement.

9. Disclaimers

Our services are provided on an "as is" basis. While we apply professional diligence to all engagements, we do not warrant that our recommendations will produce specific financial, operational, or strategic outcomes. Our consulting services are advisory, and the implementation of our recommendations is solely the responsibility of the client. We are not liable for decisions made based on our deliverables without additional professional review where appropriate.

10. Limitation of Liability

To the maximum extent permitted by law, Helix Path's total liability arising out of or relating to any engagement shall not exceed the fees paid by the client for that specific engagement. We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity. This limitation applies regardless of the form of action, whether in contract, tort, or otherwise.

11. Indemnification

You agree to indemnify, defend, and hold harmless Helix Path, its officers, employees, and consultants from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our website, your breach of these terms, or your implementation of recommendations without appropriate professional oversight.

12. Termination

Either party may terminate a consulting engagement by providing written notice as specified in the engagement proposal. We reserve the right to terminate or suspend access to our website at any time without notice for conduct that we believe violates these terms or is harmful to other users or our business. Upon termination, provisions relating to intellectual property, confidentiality, limitation of liability, and indemnification shall survive.

13. Dispute Resolution

These Terms & Conditions are governed by the laws of the Republic of China (Taiwan). Any disputes arising from these terms or from our services shall first be addressed through informal negotiation between the parties. If informal resolution is unsuccessful within 30 days, the dispute shall be submitted to the jurisdiction of the Taipei District Court. Both parties agree to participate in mediation prior to pursuing litigation where commercially reasonable.

14. General Provisions

These Terms & Conditions, together with any applicable engagement proposal, constitute the entire agreement between you and Helix Path regarding the subject matter hereof. If any provision of these terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these terms shall not constitute a waiver of that right or provision. We may not assign our obligations under these terms without your consent, except in connection with a merger or acquisition.

15. Changes to Terms

We reserve the right to update these Terms & Conditions at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of the website after changes are posted constitutes acceptance of the revised terms. We encourage you to check this page periodically.
